These Terms of Service ("Terms") govern your access to and use of Finovia (the "Service"). By accessing or using the Service, you agree to these Terms.
1. Who we are
"Finovia", "we", "us", and "our" refer to the operator of the Service. Contact details are provided in the Contact section.
2. Eligibility and authority
You must be able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts, organizations, and administrators
The Service is designed for organizations (tenants). If you create or administer an organization, you are responsible for managing users, permissions, and access. You must keep credentials secure and promptly notify us of any unauthorized access.
4. Subscriptions, trials, and billing
Some features may require payment or a subscription. If you purchase a subscription, you agree to provide accurate billing information and authorize us (and our payment processors) to charge the applicable fees and taxes.
Unless required otherwise by applicable law or expressly stated at purchase, fees are non-refundable.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or regulation.
- Probe, scan, or test the vulnerability of our systems.
- Reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law.
- Interfere with or disrupt the Service, including by introducing malware.
- Access the Service using automated means in a way that materially burdens the system (except via documented APIs where available).
6. Customer content and business data
You may submit or store data in the Service ("Customer Content"), including business records, transactions, and documents. As between you and us, you retain ownership of Customer Content.
You grant us a limited license to host, process, transmit, and display Customer Content only as necessary to provide, maintain, and secure the Service and to comply with law.
7. Privacy
Our processing of personal data is described in our Privacy Policy.
8. Intellectual property
The Service, including software, designs, and content (excluding Customer Content), is owned by us or our licensors and is protected by intellectual property laws.
9. Third-party services
The Service may integrate with third-party services (e.g., email, payments, analytics). We are not responsible for third-party services and their terms and policies govern your use of them.
10. Availability, changes, and beta features
We may modify, suspend, or discontinue parts of the Service. Some features may be offered as beta or preview and may be changed or removed at any time.
11. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the 12 months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses arising out of your use of the Service, your Customer Content, or your violation of these Terms.
14. Suspension and termination
We may suspend or terminate access to the Service if you violate these Terms or if needed to protect the Service or other users. You may stop using the Service at any time.
15. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction where the Service operator is established, without regard to conflict-of-law rules. Any disputes will be brought in the competent courts of that jurisdiction, unless applicable law requires otherwise.
